This Agreement governs the purchase of inventory between Trillion Technologies & Trading LLC (“Trillion”) and you, the purchaser (“Purchaser”).
Inventory: Accessories, chargers, batteries, SIM cards, and devices Trillion decides to sell.
Grades:
A: Light wear, very good condition.
AB: Normal wear, good to fair condition.
B: Poor condition with heavy imperfections.
This agreement is effective until terminated by either party with 30 days written notice. Trillion may cancel open orders at its discretion if the agreement ends.
Trillion offers inventory lists with model, GB, color, grade, and quantity.
Purchaser submits order quantity, offer price, and extended value.
Upon invoice, full payment must be made within 2 business days. Failure to do so may result in forfeiture of the order.
Full Payment via wire or ACH only is required.
All bank fees must be paid by Purchaser to ensure Trillion receives 100% of the invoice value.

Title and risk pass to Purchaser at Trillion’s dock.
Purchaser is responsible for pickup or shipping arrangements.
Trillion is not liable for transport damage once inventory is in transit.
Debranding: All Trillion Marks must be removed before resale.
User Data: Purchaser is responsible for removing all customer data.
Violation Penalty: $500 per unit if inventory is not debranded, not wiped of data, or sold in restricted regions.
Purchaser may not sell inventory in embargoed regions including:
Cuba, Iran, North Korea, Sudan, Syria, and Crimea (Russia).
All inventory is sold as is with no guarantees or warranties.
In special cases, Trillion may accept returns through our RMA process.

Purchaser agrees to responsibly dispose of e-waste and follow ISO 45001, EPA’s DfE, and other eco-friendly practices.
Trillion reserves the right to terminate the agreement and seek damages for:
Late payments
Improper use of inventory
Policy violations
All purchase activity, discussions, and inventory information must remain confidential.

Purchaser may not assign this agreement without written consent.
Fraudulent activity will result in immediate termination and liability for damages.
